In these Terms of Service ("Terms"), the following definitions apply:

• "Sentrix" refers to Sentrix Inc. and its affiliates.
• "Platform" refers to the Sentrix AI agent management platform.
• "User" refers to any individual or entity using the Platform.
• "AI Agent" refers to any autonomous AI system managed through the Platform.
• "Services" refers to all products, features, and services provided by Sentrix.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Sentrix provides an enterprise platform for discovering, orchestrating, and governing autonomous AI agents. Our Services include:

• AI agent discovery and registration
• Agent orchestration and workflow management
• Governance and compliance tools
• Monitoring and observability
• API access for integrations

To access the Platform, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to your account

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malicious code or interfere with the Platform
• Attempt to gain unauthorized access to any systems
• Use the Platform for any illegal or harmful purposes
• Circumvent any security measures or access controls

Sentrix retains all intellectual property rights in the Platform, including but not limited to software, documentation, trademarks, and trade secrets.

You retain ownership of your data and content. By using the Platform, you grant Sentrix a license to use your data solely for providing and improving the Services.

Both parties agree to maintain the confidentiality of any proprietary information disclosed during the use of the Platform.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable unless otherwise specified.

Sentrix reserves the right to modify pricing with 30 days' notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to our data practices as described in the Privacy Policy.

We implement appropriate technical and organizational measures to protect your data.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SENTRIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL SENTRIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Sentrix from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

Either party may terminate this agreement at any time with 30 days' written notice. Sentrix may terminate immediately for breach of these Terms.

Upon termination, your access to the Platform will cease, and you must delete any confidential information in your possession.

Sentrix may modify these Terms at any time. We will notify you of material changes via email or through the Platform.

Continued use of the Platform after modifications constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

• Entire Agreement: These Terms constitute the entire agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent.
